SwiftTicker Terms and Conditions

1. Terms
    These Terms and Conditions (“Terms”) govern your access to and use of the SwiftTicker widget and website (collectively, the “Platform”), available at www.swiftticker.com. The Platform includes obtaining your widget embed code, managing news feeds, adding or modifying RSS feeds, and using any related features (collectively, the “Widget Services”). By accessing or using the Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not access or use the Platform. We recommend you print a copy of these Terms for your records. We may update these Terms periodically and will notify you via email or through the Platform; continued use of the Platform after such notification signifies your acceptance of any changes.
   
2. Who We Are and How to Contact Us
    The Platform is operated by Sand Console Pvt Ltd, a company registered in Nepal under company number 301750/079/080, with its registered office at Kathmandu and Janakpur. References to “we”, “us”, or “our” in these Terms refer to Sand Console Pvt Ltd. 3. Other Applicable Terms and Policies
    Your use of the Platform is also subject to our Privacy Policy and Cookies Policy, which form an integral part of these Terms. When using the Widget Services, if you choose to integrate third-party content or features, you may be required to agree to separate terms imposed by those third parties. In cases of conflict between these Terms and any third-party terms, the third-party terms will govern your use of the relevant service or content.
   
4. Subscriptions, Accounts, and Payment
    SwiftTicker offers subscription-based access to its Widget Services, with different subscription tiers unlocking varying features.
   • Subscriptions: Details of each tier, including pricing and features, are provided on the Platform. Subscriptions are non-transferable and intended solely for your use.
   • Account Registration: Depending on your chosen subscription tier, you may be required to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
   • Fees and Payment: Subscription fees (“Subscription Fees”) are disclosed during the sign-up process and are payable monthly or annually in advance through our third-party payment provider. Your subscription will commence upon successful payment and renew automatically unless canceled in accordance with these Terms. We reserve the right to suspend or terminate your access for non-payment, applying any applicable charges and interest as allowed by law.
   
5. Availability and Use of the Widget
    SwiftTicker is provided “as is” and we do not guarantee uninterrupted or error-free access to the Widget or Platform. You are responsible for ensuring that your systems meet the necessary technical requirements to use the Widget. We may update, suspend, or discontinue the Widget (or any part of it) at any time for maintenance, upgrades, or other operational reasons, with reasonable notice provided for major changes.
   
6. Embedding and Managing the Widget
    Upon subscribing, you receive an embed code for the SwiftTicker widget, which you may integrate into your website or application. The Platform also allows you to manage news feeds and add custom RSS feeds. By using these services, you agree that:
   • Any content you provide (such as new RSS feed URLs) is accurate and lawful;
   • You are responsible for ensuring that any third-party content you include complies with all applicable laws and does not infringe on any rights.
   
7. Content and Feed Management
    The Platform may display various types of content, including user-provided news feeds and third-party feeds. We do not monitor or guarantee the accuracy, reliability, or legality of such content. If you add custom RSS feeds, you warrant that you have the necessary rights to use and distribute the content from those feeds. We are not liable for any disputes arising from content that appears via the Widget.
   
8. Links to Third-Party Websites
    The Platform may contain links to third-party websites or resources. These links are provided solely for your convenience and do not imply any endorsement of such third parties. We have no control over the content on these external sites and are not responsible for any materials, products, or services offered there.
   
9. Intellectual Property Rights
    All intellectual property rights in the SwiftTicker widget, the embed code, and all related content provided on the Platform are owned by SwiftTicker Ltd or our licensors. You are granted a limited, non-transferable, non-exclusive license to use the widget solely for your personal or internal business purposes as permitted by your subscription. You must not modify, reproduce, or distribute any part of the Widget without our express written permission.
   
10. Prohibited Actions
     You must not:
    

• Introduce any viruses, malware, or other harmful content into the Platform.
  
• Attempt to gain unauthorized access to any part of the Platform or interfere with its operation.
  
• Use the Platform in any manner that violates applicable laws or infringes the rights of any third party. Any breach of these prohibitions may result in immediate suspension or termination of your access, and may lead to legal action.
  

11. Acceptable Use
     You agree to use the Platform and Widget solely for lawful purposes. You must not use the services in any way that could harm SwiftTicker, its users, or any third party. This includes, but is not limited to, using the Platform for spam, fraudulent activities, or any other abusive practices.
    
12. Limitation of Liability
     To the fullest extent permitted by law, SwiftTicker Ltd shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of, or inability to use, the Platform or Widget. This includes any loss of revenue, data, or profits, even if advised of the possibility of such damages. Nothing in these Terms excludes our liability for death or personal injury caused by our negligence.
    
13. Enforcement and Termination
     If you breach any part of these Terms, we reserve the right to take appropriate action, including suspending or terminating your account and access to the Platform without prior notice. We may also pursue any legal remedies available to us. Termination of your access does not relieve you of any outstanding payment obligations.
    
14. Linking to SwiftTicker
     You may link to the homepage of www.swiftticker.com provided the link is fair, legal, and does not damage our reputation or suggest an affiliation where none exists. Any misuse of our branding or linking guidelines may result in removal of linking privileges.
    
15. Interpretation and Miscellaneous
     These Terms constitute the entire agreement between you and SwiftTicker Ltd regarding your use of the Platform. If any provision is found to be unenforceable, the remaining provisions will continue in full force. No waiver of any provision shall be effective unless in writing. The headings in these Terms are for convenience only and do not affect interpretation.
    
16. Governing Law and Jurisdiction
     These Terms are governed by and construed in accordance with the laws of [England and Wales OR your chosen jurisdiction]. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [England and Wales OR your chosen jurisdiction], although you may bring proceedings in the courts of your country of residence where applicable.
